The latter contend that shareholder does not own the firm itself but own the residual claim to the corporation's assets and earnings (agency cost variant of shareholder primacy). In either case, shareholders occupy a privileged position with ownership-like rights. Accordingly, directors and officers are mere agents of the shareholders.「Managerialist model」and「Stakeholderist model」 linked with institutional economics contend that corporation is no longer merely a private business tool or device, instead, it has evolved into a dominant institution affecting economic, political, and social conditions in modern society. 「Director primacy model」and「Mediating hierarch model」linked with transaction cost theory of the firm contend that directors are not subject to direct control or supervision by anyone, including the firm's shareholders. The contractarian metaphor helps show that the firm is not a black box whose internal workings are immune from market forces and in drawing attention to the fact that contractual relations with shareholders, employees, suppliers, customers, creditors and other are an essential aspect of the firm. But the contractarian metaphor masks the fact that the rules of corporate law are often based on social welfare judgments of judges, lawmakers, and regulators rather than on parties' bargains in the marketplace. So, this is necessary to introduce a second metaphor that will highlight the statist aspect of corporate law. Using two metaphors may help limit the distortions of the contract metaphor. Law and economics(or New Institutional Economics) discourse already has a concept that can serve as this source domain: property. While「the economic analysis of contract」discounts the importance of the state in the interpretation and enforcement of agreements,「the economic analysis of property」openly acknowledges the fact that the state determines the nature and extent of property rights. The former has relation to the more micro-oriented「institutional arrangement」and the latter to the more macro-oriented「institutional environment」. Therefore, the nature of the corporation can be seen through the harmony of contract metaphors and property metaphors. But the contractarian metaphor masks the fact that the rules of corporate law are often based on social welfare judgments of judges, lawmakers, and regulators rather than on parties' bargains in the marketplace. So, this is necessary to introduce a second metaphor that will highlight the statist aspect of corporate law. Using two metaphors may help limit the distortions of the contract metaphor. Law and economics(or New Institutional Economics) discourse already has a concept that can serve as this source domain: property. While「the economic analysis of contract」discounts the importance of the state in the interpretation and enforcement of agreements,「the economic analysis of property」openly acknowledges the fact that the state determines the nature and extent of property rights. The former has relation to the more micro-oriented「institutional arrangement」and the latter to the more macro-oriented「institutional environment」. Therefore, the nature of the corporation can be seen through the harmony of contract metaphors and property metaphors. This insight still see the nature of the corporation as the nexus of contracts, because contract and property have corresponding effects on so-called private ordering.This「law and economics approach」to the「corporate governance model」or「the nature of the firm」has sunk into the fabric of academic corporate law.
