A flexible cargo bed tie-down system allows the user to easily change, adjust, customize, and adapt his or her vehicle to specific needs at any given moment, and interfaces with the rest of the vehicle in an optimum manner from a functional, structural, and aesthetic standpoint. One embodiment of the invention provides a vehicle having a side wall construction enclosing a cargo bed at a side of the cargo bed. The side wall construction includes an outer portion which runs generally vertically at an outer portion of the vehicle, and a top portion which runs generally horizontally from the outer portion toward a longitudinal center of the vehicle. A tie-down rail is mounted adjacent to the top portion such that a part of the top portion overhangs at least a portion of the tie-down rail. The tie-down rail is configured to accept a tie-down fitting and includes a slotted opening generally aligned with an interior edge of the top portion.

An exterior cargo bed arrangement for a passenger vehicle having a cargo bed, the arrangement comprising: an exterior cargo bed having a bed portion and an interior wall portion, the interior wall portion extending generally perpendicular to the bed portion; a side wall construction including an outer panel which runs outboard of the interior wall portion of the exterior cargo bed and an upper portion which runs horizontally toward an inboard-most edge thereof; a tie-down rail, having a slotted surface to accept a tie-down fitting, mounted to the interior wall portion at a position adjacent to the inboard-most edge of the upper portion such that the slotted surface faces inboard, the inboard-most edge of the upper portion of the side wall construction at least partially covering the tie-down rail in a horizontal direction such that the slotted surface lies within a range of substantially flush with the inboard-most edge to 쩍 inch inboard of the inboard-most edge; and a fastener that mounts the tie-down rail to the interior wall portion of the cargo bed at a mounting point of the tie-down rail which is opposite to the slotted surface of the tie-down rail. 2. An exterior cargo bed arrangement as set forth in claim 1, wherein the slotted surface of the tie-down rail is generally aligned with the inboard-most edge of the upper portion of the side wall construction. 3. An exterior cargo bed arrangement as set forth in claim 1, wherein a portion of the side wall construction adjacent to the tie-down rail is formed of metal. 4. An exterior cargo bed arrangement as set forth in claim 1, wherein the upper portion comprises a flat horizontal surface. 5. An exterior cargo bed arrangement as set forth in claim 1, wherein the vehicle is a pick-up truck. 6. An exterior cargo bed arrangement as set forth in claim 1, wherein the vehicle is a sport utility truck. 7. An exterior cargo bed arrangement as set forth in claim 1, wherein a portion of the side wall construction adjacent to the tie-down rail is formed of plastic. 8. An exterior cargo bed arrangement as set forth in claim 1, wherein the tie-down rail and the tie-down fitting are configured such that the tie-down fitting is loaded into the tie-down rail in a direction perpendicular to the interior wall portion. 9. An exterior cargo bed arrangement as set forth in claim 1, wherein the slotted surface does not extend more than ⅛ inch beyond the inboard-most edge of the upper portion. 10. An exterior cargo bed arrangement as set forth in claim 1, wherein the slotted surface does not extend more than 쩌 inch beyond the inboard-most edge of the upper portion. 11. An exterior cargo bed arrangement as set forth in claim 1, wherein the mounting point is attached to the interior wall portion via a body panel. 12. An exterior cargo bed arrangement for a passenger vehicle having a cargo bed, the arrangement comprising: a side wall construction including an interior wall defining a cargo bed, an outer body panel outboard of the interior wall, and an upper portion having an inboard-most edge; a tie-down rail, having a slotted surface to accept a tie-down fitting, mounted to the interior wall at a position adjacent to the inboard-most edge of the upper portion such that the slotted surface faces inboard, the tie-down rail being at least partially covered by the inboard-most edge of the upper portion of the side wall construction in a horizontal direction such that the slotted surface is at least substantially flush with the inboard-most edge and does not extend appreciably beyond the inboard-most edge; and a fastener that mounts the tie-down rail to the interior wall at a mounting point of the tie-down rail which is opposite to the slotted surface of the tie-down rail. 13. An exterior cargo bed arrangement as set forth in claim 12, wherein a portion of the side wall construction adjacent to the tie-down rail is formed of metal. 14. An exterior cargo bed arrangement as set forth in claim 12, wherein the upper portion comprises a flat horizontal surface. 15. An exterior cargo bed arrangement as set forth in claim 12, wherein the vehicle is a pick-up truck. 16. An exterior cargo bed arrangement as set forth in claim 12, wherein the vehicle is a sport utility truck. 17. An exterior cargo bed arrangement as set forth in claim 12, wherein the slotted surface of the tie-down rail is generally aligned with the inboard-most edge of the upper portion of the side wall construction. 18. An exterior cargo bed arrangement as set forth in claim 12, wherein the slotted surface does not extend more than ⅛ inch beyond the inboard-most edge of the upper portion. 21.
