From time to time, despite the steadily increase of the number of M&As and a solid research experience in the field of M&As integration, the integration process too often remains ineffective for successful M&As. The latest tendencies shifted the objective of M&As toward the acquisition of knowledge assets, that alongside with other factors in strongly caused by the increase of competition and cost advantages of acquiring already existing knowledge of other firms. In the case, post M&As phase process and knowledge transfer are combined in one major task, because the transfer of the knowledge is the main purpose of the M&As. Compared to the past, there has been a gradual increase in M&As between companies in Korea as well as elsewhere. While the goals and scales of M&As have been diversifying, however, the truth is that there have been more cases of failure than success. There may be various underlying reasons for the failure of M&As, but the most important one may be the integration process subsequent to the M&As. First of all, this study outlines the theoretical concepts related to the subject, and examines the current status of and outlook for domestic and foreign M&As. Through case analysis, it also traces key factors determining success or failure and countermeasures, and finally, presents conditions and strategies for post-merger integration. As a corporate growth strategy, merger types can be divided into strategic alliances and joint ventures; and in terms of M&As character, they can be divided into friendly or hostile M&As. However, the focus here is primarily on cases of friendly M&As. To begin with, this study summarizes the principles for successful M&As, identifies key elements for success or failure from pre-and post-merger perspectives, describes them at a working level, and obtains the following results by conducting empirical case analyses. First, the key to a successful M&As does not reside in whether the deal is negotiated successfully or not, but in how effective the integration of the two companies is, i.e. in the post-merger integration process. A preliminary due diligence of external factors such as the target company's business performance, business outlook and market conditions can be conducted relatively accurately and prepared for through various channels. However, when it comes to post-merger integration processes concerning internal factors such as the target company's corporate and organizational cultures, and production processes, by examining both successful and failed merger cases it appears that companies are unable to understand or control these processes and end up failing without achieving a real merger. Secondly, key points in such post-merger integration processes are vision and strategy integration, leadership and cultural integration, and human and organizational culture integration. Employees of the company that is being acquired may feel uncertain about their personal futures. Therefore, a community spirit of being one family, and personal vision need to be instilled. Establishment of a management strategy is necessary to this end. Additionally, through integration of the corporate and organizational cultures, a secure sense of identity must be established without making them feel alienated. By doing this, the company can start to achieve corporate growth, which is the original goal of the M&As. Therefore, the formation and utilization of an exclusive task force that specializes in supervising and coordinating the overall M&As process, from preliminary due diligence to post-merger integration processes, is imperative. If the management makes light of M&As and attempts them with such an attitude, they will end up inflicting huge losses on the companies and their shareholders. If a company wishes to increase its corporate value and achieve growth through an M&As, it must not overlook the integration of different corporate and organizational cultures, and must instead make sustained efforts to take advantage of this in order to secure a competitive edge. It is hoped that, in the future, methodological studies by companies on post-merger integration management and organizational mechanisms will be improved and developed, to achieve successful M&As that contribute to an increase in profits for individuals and corporations.
