과거에 기업가치는 재무제표와 같은 정량적 지표에 의해 주로 평가되어 왔지만, 전 세계적인 기후변화 위기와 코로나 19 팬데믹을 거치면서 최근에는 ESG와 같은 비재무적 가치의 중요성이 점차 커지고 있다. 아울러, 환경 및 사회적 가치를 중시하는 방향으로 세계적인 패러다임이 전환되면서 ESG는 기업의 장기적인 생존에 직결되는 핵심적인 가치로 인식되고 있다. 이러한 관점에서 본 연구는 현재 제약·바이오산업에서 ESG 경영에 앞장서고 있는 삼성바이오로직스의 지속가능경영 수준과 향후 개선사항을 분석하고, 국내 제약·바이오 기업들에게 ESG 경영을 통한 우수한 경영 전략 사례를 제시하고 이해관계자들의 관심을 제고하는 것을 목적으로 하였다. 연구방법은 세계적인 ESG 경영시스템 인증기관인 BSI group의 제3자 검증을 완료한 삼성바이오로직스의 지속가능경영보고서의 내용을 기반으로 ESG 경영에 대한 글로벌 이니셔티브(Initiative) 반영과 실행의 관점에서 사례를 분석하였다. 첫째, 삼성바이오로직스의 ESG 경영 활동이 유엔지속가능발전목표(UN SDGs)를 적절히 반영하고 있는지 분석하여 글로벌 기준에 부합하는지를 살펴보았으며, 둘째, 삼성바이오로직스의 경영활동을 국내 ESG 평가기관인 한국기업지배구조원(KCGS)의 평가 분야를 기준으로 제도와 실행의 관점에서 ESG 경영에 대한 사례를 분석하였다. 연구결과, 첫째, 삼성바이오로직스의 ESG 경영활동을 유엔지속가능발전목표(UN SDGs)와 연계하여 분석한 결과 17개의 목표 중 5개의 목표(목표1, 목표2, 목표10, 목표11, 목표17)와 연계된 지속가능발전목표 선정 및 세부 목표별 지속가능경영활동에 관한 내용이 없음을 확인할 수 있었으며, 향후 이를 추가 반영하여 글로벌 수준에 부합하는 지속가능경영 목표 수립 및 활동이 필요한 것으로 나타났다. 둘째, 삼성바이오로직스의 ESG 경영활동을 한국기업지배구조원(KCGS)의 평가 프레임워크(Framework)를 참고하여 분석을 수행한 결과, 삼성바이오로직스는 제품 책임 및 안정성 강화, 안전환경, R&D경영을 통한 글로벌 경쟁력 강화 등에 대해 주력하고 있으며, 지배구조(G) 영역보다는 환경(E)과 사회(S) 영역에 대한 관심이 높은 것으로 평가되었다. 이는 향후 글로벌 기준에 부합하는 지배구조(G) 개선의 필요성을 제시할 수 있을 것으로 판단된다. 본 연구의 결과는 세계적인 패러다임이 환경 및 사회적 가치를 중시하는 방향으로 전환되고 있는 상황에서 삼성바이오로직스의 ESG 경영 사례 분석을 통해 국내 제약·바이오 기업의 ESG 경영체계 확립 및 발전을 위한 시사점을 제시하는데 도움이 될 것이라 판단되며, 제약·바이오 기업을 대상으로 한 ESG 경영 사례를 연구하였다는 점에서 기존 연구와 구별되는 차별성이 있다고 할 수 있다. 본 연구의 한계점은 삼성바이오로직스의 ESG 경영에 대한 단일 사례를 연구하였다는 점에서 일반화의 한계가 존재한다. 향후 연구에서는 제약·바이오 산업의 다양한 기업의 ESG 경영 사례와 비교 연구를 통해서 보다 실질적인 ESG 경영활동과 성과를 분석할 필요가 있을 것으로 보인다.

최근 제약·바이오 기업 주가의 급상승, 변동성 확대 등으로 인해 투자자 보호 필요성이 증대되고, 제약·바이오 기업의 개발비 자산 인식 등 회계 이슈로 인해 산업의 불확실성이 확산되는 시점에서 2018년 9월 금융위원회와 금융감독원은 제약·바이오 업계의 회계처리 관련 불확실성을 해소하고 회계투명성을 제고하기 위해 “제약·바이오의 연구개발비 회계처리 관련 감독지침”을 발표하였다. 이에 본 연구에서는 제약·바이오 기업의 연구개발비 인식 금액에 대해 시장에서는 어떻게 평가하는지 신용평점을 통해 살펴보았다. 특히, 2018년 감독 지침 이전과 이후를 비교하여 해당 기업의 연구개발비 인식 변화에 대한 시장의 차별적인 평가가 나타나는지 살펴보는 것을 목적으로 하였다. 본 연구는 2016년부터 2021년까지 유가증권 시장 및 코스닥 시장에 상장된 제약·바이오 기업을 대상으로 분석을 수행하였다. 분석대상은 한국표준산업분류 중 중분류 ‘C21. 의료용 물질 및 의약품 제조업’과 ‘M70. 연구개발업’ 중 세세분류 ‘M70113. 의학 및 약학 연구개발업’으로 선정하였다. 본 연구에서 신용평점은 한국신용평가(주)에서 개발한 신용평가모형을 통해 점수화한 KIS신용평점을 이용하였다. 연구결과를 요약하면 다음과 같다. 첫째, 검증변수(After)와 종속변수인 신용평점(Score) 변수는 코스닥 기업에서만 통계적으로 유의한 양(+)의 값을 나타냈다. 이는 제약·바이오 기업의 연구개발비 회계처리에 대한 감독지침의 효과가 상대적으로 기업규모가 큰 유가증권 기업보다는 코스닥 기업에 유의미한 영향을 미치는 것으로 해석된다. 둘째, 검증변수(After)와 통제변수(Devlop, 개발비)와의 상호작용 변수는 신용평점(Score) 변수와 통계적으로 유의미한 결과를 발견할 수 없었다. 하지만 유가증권 기업의 경우 검증변수(After)와 통제변수(Rnd, 연구개발비)와의 상호작용 변수는 유의미한 양(+)의 값을 나타냈다. 이는 감독지침 적용을 통해 이전보다 보수적인 회계처리(해당 기업의 비용 증가 및 수익성 악화)로 나타날 수 있는데, 이에 대한 신용평가기관의 평가는 부정적인 것으로 해석된다. 본 연구는 산업 고유의 특수성을 반영한 감독지침 도입의 효과를 검증함으로써 향후 회계기준의 개선 및 제정에 유용한 정보로 활용될 것으로 판단되며, 해당 감독 지침과 제약·바이오 기업의 신용평점 간의 관계를 살펴봄으로써 감독지침의 실효성에 대하여 실증 분석하였다는 점에서 의의가 있다. 본 연구의 한계점은 해당 감독지침의 도입에 따른 회계처리 기준의 영향을 제약·바이오 기업으로 제한하여 분석하였다는 것이며, 향후 연구에서는 제약·바이오 기업 이외의 연구개발비 비중이 높은 산업들과 비교 검증하는 분석이 필요할 것으로 판단된다.

Recently, the need for investor protection has increased due to growing volatility and a surge in stock prices of pharmaceutical and bio companies. Furthermore, industrial uncertainties widened owing to accounting issues such as pharmaceutical and bio companies’ recognition of development cost as asset. Under these circumstances, the Financial Services Commission and the Financial Supervisory Service released the “Supervisory Guidelines for Accounting Method of R&D Expenses in Pharmaceutical and Bio Companies” in September 2018 to resolve uncertainties and enhance transparency in their accounting. As such, this study investigated how the market evaluates of pharmaceutical and bio companies' recognized amount of R&D expenses through credit ratings. Notably, this study explored whether the market evaluated differently on the change in the perception of R&D expenses of the company before and after the 2018 supervisory guidelines. This study analyzed pharmaceutical and bio companies listed on Korea Stock Exchange (KSE) and the KOSDAQ market during 2016 and 2021. The selected targets were ‘C21. Manufacturing of medical substances and medicine,’ the middle category among Korean Standard Industrial Classification, and ‘M70113. Medicine and pharmacy R&D,’ the subdivision of ‘M70. R&D business.’ This study used the KIS credit score for the credit rating based on the credit rating model developed by Korea Investors Service. The results are summarized as follows. First, the verification variable (After) and the dependent variable, the credit score variable (Score), showed a statistically significant positive (+) value only in KOSDAQ companies. This indicates that supervisory guidelines for R&D expense accounting method of pharmaceutical and bio companies have a more significant effect on KOSDAQ companies than relatively large companies listed on Korea Stock Exchange. Second, the interaction variable between the verification variable (After) and the control variable (Devlop, development cost) failed to find any statistically significant results with the credit score variable (Score). However, in the case of KSE-listed companies, the interaction variable between the verification variable (After) and the control variable (Rnd, R&D cost) showed a significant positive (+) value. More conservative accounting (growing cost and worsening profitability of the company) than before can be seen by applying the supervisory guidelines, which is interpreted as negative by credit rating agencies. This study is meaningful in that it empirically analyzed the effectiveness of the supervisory guidelines by examining the relationship between the guidelines and pharmaceutical and bio companies. Thus, useful information for the improvement and enactment of future accounting standards is provided by verifying the effect of the supervisory guidelines reflecting the unique characteristics of the industry. However, this study has a limitation in that it limited the effect of the accounting standards involving the introduction of the supervisory guidelines to pharmaceutical and bio companies. Thus, future studies should compare and verify this study’s results with results from other industries with high R&D costs.

In the past, enterprise value was primarily assessed by quantitative indicators, including financial statements. However, in recent years, the importance of non-financial values, such as Environmental, Social, and Governance (ESG) factors, has increased as companies have been impacted by the global climate change crisis and the COVID-19 pandemic. Furthermore, with the global paradigm shift toward emphasizing environmental and social values, ESG has been recognized as a core value directly related to the long-term survival of companies. Thus, this study analyzes the sustainable management level and future improvements of Samsung Biologics, a leading ESG management company in the pharmaceutical and biotechnology industry. Furthermore, it presents a case of excellent management strategy through ESG management to pharmaceutical and biotechnology companies in South Korea, raising stakeholder interests. We conducted a case analysis by reflecting and executing the global initiative on ESG management based on the sustainable management report of Samsung Biologics, which had completed third-party verification by the BSI Group, the world’s leading certification body of ESG management systems. First, we analyzed whether Samsung Biologics’ ESG management activities adequately reflect the United Nations Sustainable Development Goals (UN SDGs) to meet global standards. Second, we analyzed the ESG management case of Samsung Biologics from the system and execution perspectives based on the assessment areas of the Korea Corporate Governance Institute (KCGS), an ESG evaluation agency in South Korea. The findings of this study are as follows. First, by analyzing Samsung Biologics’ ESG management activities regarding the UN SDGs, we found no information on the sustainable development goal selection and goal-specific sustainable activities for 5 (Goal Nos. 1, 2, 10, 11, and 17) out of the 17 goals. Therefore, in the future, it is necessary to establish and implement sustainable management goals consistent with global standards. Second, analyzing Samsung Biologics’ ESG management activities by referring to the evaluation framework of the KCGS, we found that Samsung Biologics focuses on strengthening its global competitiveness based on product responsibility and stability enhancement, safe environment, and R&D management. Furthermore, the assessment shows that the company focuses more on the environmental (E) and social (S) domains than on the governance (G) domain, indicating a need to improve governance (G) to meet the global standards in the future. This study presents implications for establishing and developing ESG management systems in pharmaceutical and biotechnology companies in South Korea based on the case analysis of Samsung Biologics’ ESG management, where the global paradigm is shifting toward emphasizing environmental and social values. Furthermore, this study is differentiated from other existing studies in that we conducted a case study on the ESG management of a pharmaceutical and biotechnology company. The generalization of our results is limited because we studied only a single case of ESG management, Samsung Biologics. In the future, ESG management cases of various companies in the pharmaceutical and biotechnology industry need to be studied, and more practical ESG management activities and performance through comparative research should be analyzed.

First, we analyzed whether Samsung Biologics’ ESG management activities adequately reflect the United Nations Sustainable Development Goals (UN SDGs) to meet global standards. Second, we analyzed the ESG management case of Samsung Biologics from the system and execution perspectives based on the assessment areas of the Korea Corporate Governance Institute (KCGS), an ESG evaluation agency in South Korea. The findings of this study are as follows. First, by analyzing Samsung Biologics’ ESG management activities regarding the UN SDGs, we found no information on the sustainable development goal selection and goal-specific sustainable activities for 5 (Goal Nos. 1, 2, 10, 11, and 17) out of the 17 goals. Therefore, in the future, it is necessary to establish and implement sustainable management goals consistent with global standards. Second, analyzing Samsung Biologics’ ESG management activities by referring to the evaluation framework of the KCGS, we found that Samsung Biologics focuses on strengthening its global competitiveness based on product responsibility and stability enhancement, safe environment, and R&D management. Furthermore, the assessment shows that the company focuses more on the environmental (E) and social (S) domains than on the governance (G) domain, indicating a need to improve governance (G) to meet the global standards in the future. This study presents implications for establishing and developing ESG management systems in pharmaceutical and biotechnology companies in South Korea based on the case analysis of Samsung Biologics’ ESG management, where the global paradigm is shifting toward emphasizing environmental and social values. Furthermore, this study is differentiated from other existing studies in that we conducted a case study on the ESG management of a pharmaceutical and biotechnology company. The generalization of our results is limited because we studied only a single case of ESG management, Samsung Biologics. In the future, ESG management cases of various companies in the pharmaceutical and biotechnology industry need to be studied, and more practical ESG management activities and performance through comparative research should be analyzed.
