The major taxation issue in the inheritance and gift tax is a question of how fair the valuation of the unlisted stock is. Because the fair value of the unlisted stock is hardly recognizable, complicated “supplementary valuation method” is adopted very frequently in the tax practice. Especially supplementary valuation method for unlisted stocks is so much complicated and unclear that conflicts over valuation result between taxpayers and the tax authorities occur very frequently and repetitively. From such a perspective, this study investigates the current legislations on the supplementary valuation method, which matters in both the theory of tax laws and tax practice. The legislation prescribes that the supplementary valuation method should be applied in the order of (ⅰ) “conceptual” fair value, (ⅱ) private and public sale price, (ⅲ) “exceptional” supplementary valuation price calculated with net asset value (“NAV” hereafter), (ⅳ) another “exceptional” supplementary valuation price calculated with both net income value (“NIV” hereafter) and NAV, and (ⅳ) “basic” supplementary valuation price. Moreover, this study researches on recent rulings and court cases relating to the specific applications of the method, which clarify the interpretation of ambiguous tax laws. Special issues relating to the supplementary valuation method for unlisted stock, which this study treats, include (ⅰ) how to calculate the number of shares for NIV calculation, (ⅱ) how to estimate net asset for NAV calculation, and (ⅲ) whether to include individual items for NAV calculation. Consequently, this study is expected to contribute to providing academic and practical implications to relevant future cases.
