The purpose of this thesis is to contribute to the enhancement of the understanding of IncotermsⓇ 2010 by studying the revised main contents, the background and main features of the updates, and implications of IncotermsⓇ 2010 rules. International sales of contract has trade terms of one of the condition of contract. The trade terms have been developed by international custom and are used in international trade transaction. However, they are often interpreted differently in many countries and may be modified by agreement of the concerned parties, the custom of particular trade or the usage prevailing in a particular port. The different understanding of the trade terms make the parties misunderstand the meaning of their contract and leads disputes among them. International Chamber of Commerce and other international organizations have tried to provide uniform rules for the interpretation of trade terms. The major rules are Incoterms, Revised American Foreign Trade Definition, Warsaw-Oxford Rules and Uniform Commercial Code. Incoterms mean the ICC official rules published by the ICC for the interpretation of trade terms which facilitate the conduct of global commerce and are considered as rules used for domestic and international trade. These trade terms clarify certain obligations for parties in a sale of goods contract. Since the creation of the Incoterms rules by ICC in 1936, Incoterms rules as a globally accepted contractual standard have been regularly updated to keep pace with contemporary trade practices and the development of global trade. The IncotermsⓇ 2010 is the latest updated version which came into effect on January 1, 2011. The new rules reflect the changes in international trade since the last version of the rules was published in 2000. The update has been made in order to keep pace with the changes of international trade environment in various aspects; among other things, particularly, the continued spread of customs-free zone, the increased use of electronic communications in business transactions, heightened concern about security in the movement of goods and changes in transport practices. In addition, the IncotermsⓇ 2010 offers a simpler and clearer presentation of all the rules in order to prevent any mistake in one's appropriate incoterms choice and in interpretation of those rules. The most significant change of IncotermsⓇ 2010 are the addition of two new rules: Delivered at Terminal(DAT) and Delivered at Place(DAP). In turn, the ICC has abolished four Incoterms rules (DAF, DES, DEQ and DDP). IncotermsⓇ 2010 has introduced the new two classification of the trade terms. One is the terms for any mode or modes of transport which are EXW, FCA, CPT, CIP, DAT, DAP and DDP. The other is the terms for sea and inland waterway transport which are FAS, FOB, CFR and CIF. Under the FOB, CFR and CIF, the ship's rail rules are not applied to the transfer of risks.
