지주회사 제도가 도입된 지 만 20년이 되었다. 당초 경제력 집중 등의 문제로 금지해 왔으나 외환위기라는 특수한 상황에서 기업구조조정을 위해 1999년 도입되었다. 이후 계속적으로 규제를 완화한 결과 지주회사체제로 전환한 기업집단이 꾸준히 증가하며 상당한 효과를 거두었다. 지주회사 제도가 성공을 거둔 배경에는 기업구조조정 및 지배구조개선을 위해 지주회사 체제를 장려한 정부의 정책이 있었다. 이런 배경에서 많은 기업들이 지주회사로 전환하였으나, 그 과정에서 지배력 집중 현상 등이 나타나면서 최근 비판이 제기되고 있다. 지주회사의 전환 과정에서 지배력이 집중되는 이유를 보면, 인적분할ㆍ현물출자 결합을 통한 지주회사 전환 시 자기주식에 대해 분할신주가 배정되고, 이어서 지배주주의 자회사 주식 현물출자가 이루어진 결과이다. 이로 인해 분할 전에 비해서 지주회사에 대한 지배주주의 지분율 및 사업회사에 대한 지주회사의 지분율이 각각 2배씩 증가하였다. 본 연구에서는 인적분할ㆍ현물출자 결합을 통한 지주회사 전환의 이유 및 필요성에 대해서 살펴보고, 우리나라 기업구조조정세제에 직접적으로 영향을 미친 미국 조직재편세제와의 비교ㆍ분석을 통해 시사점을 찾아본 후, 인적분할ㆍ현물출자 결합 거래에서 나타나는 문제와 관련된 세법 규정의 해석 방법에 대해 살펴보고, 이에 대한 입법론을 제시하였다. 미국 세법 및 판례에서는 실질과세원칙을 적용하여 단계 거래를 하나의 거래로 볼 수 있는데, 우리나라 세법에서도 이를 적용할 수 있다면 인적분할 및 현물출자의 결합 거래는 적격 요건을 갖추지 못한 것으로 볼 여지가 있다. 그러나, 미국 세법과 비교해보면 지주회사 제도와 관련된 조세특례제한법 제38조의2 제2항 규정은 우리나라만의 특별한 규정으로 지주회사 전환에 대한 특례 성격을 가지고 있다. 해당 규정은 공정거래법과 함께 다른 나라에 비해 미흡한 일반 규범의 공백을 메꾸어나가는 역할을 하고 있어서 단순히 미국 세법과 비교하기는 힘들어 보인다. 따라서, 인적분할ㆍ현물출자 결합을 통해 지주회사로 전환하는 과정에서 나타나는 문제들에 대하여 세법 규정 및 세법 이외의 법률들을 고려하여 종합적으로 판단할 필요가 있다. 우리나라 기업집단의 지배구조에서는 인적분할을 통해 지주회사를 설립ㆍ전환하는 경우 필연적으로 지주회사와 자회사 주주간의 현물출자 거래가 결합된다. 인적분할과 현물출자 거래의 결합 과정에서 몇 가지 문제가 발생하는데, 하나는 자회사 주주의 현물출자 참여율 및 교환비율로 인해 생기는 문제이고, 다른 하나는 경제적 실질의 변화로 인해 생기는 문제이다. 현물출자 거래 시 자회사 주주의 참여율은 전적으로 주주의 주관적 판단에 의해 결정되나, 교환비율은 거래되는 주식의 평가에 의해 결정된다. 인적분할 시 하나의 회사가 두 개의 회사로 되는 과정에서 재상장ㆍ기업공개 간 시차가 발생하고 이로 인한 평가방법 차이의 문제가 생기고, 다른 한편으로는 세법과 다른 법률 간의 평가방법의 차이로 인한 문제 등이 생긴다. 근본적으로는 정확한 주식가치 산정이 불가능하다는 것을 인지하면서도 평가방법을 세세하게 규정하려는 접근방식에서 문제가 기인하는 것이다. 이 문제를 근본적으로 해결하기 위해서는 접근방식 자체를 원칙중심 접근방식으로 전환하여 입법하는 것이 보다 바람직해 보인다. 단기적으로는 세법 체계를 바꾸는 것이 쉽지 않으므로 현행 세법을 일부 보완할 필요가 있다. 하나의 회사(상장회사)를 두 개의 회사로 쪼개는 과정에서 일시적으로 비상장회사가 존재하게 되는 경우에는 동일한 평가방법을 적용하거나 다른 평가방법을 사용하더라도 이를 조정할 수 있는 입법이 필요해보인다. 또한 세법상 평가방법과 자본시장법상 평가방법이 상이한 경우 자본시장법상 평가방법을 세법이 수용하는 형태로 전향하는 것이 필요해보인다. 그리고, 인적분할ㆍ현물출자 결합을 통한 지주회사 전환은 단순히 형식적인 변화만 있는 것이 아니라 경제적 실질까지 변한 것으로 볼 수 있다. 이 경우 국세기본법 제14조 제3항의 단계거래에 대한 실질과세원칙의 직접 적용 가능성이 문제될 수 있다. 과세이연의 핵심 논리는 경제적 실질의 변화 없는 형식의 변화에 대해서 과세계기로 삼지말자는 것인데, 경제적 실질이 변한 것으로 볼 수 있기 때문이다. 그러나, 조세특례제한법 제38조의2 제2항의 규정은 애초부터 경제적 실질의 변화가 있더라도 기업집단의 지배구조개선이라는 정책적 목적을 달성하기 위해 과세특례를 주는 규정이고, 1999년 지주회사 제도가 도입된 이래 계속적으로 규제를 완화하면서 지주회사의 설립ㆍ전환을 장려해왔던 점을 고려하면 경제적 실질의 변화에도 불구하고 적극적으로 조세특례를 적용할 필요가 있어 보인다. 인적분할ㆍ현물출자 결합을 통한 지주회사 전환과 관련하여 현행 세법 체계는 기본법과 특례법 구조로 되어 있어 논리적 일관성도 없고 통일적인 법해석도 어렵게 만들고 있다. 결국은 미국 세법의 조직재편세제와 같이 단일한 세법 체계를 갖추어야 할 것으로 보인다. 또한, 지주회사 자체는 가치중립적인 지배구조에 불과한 것이어서 자유롭게 설립할 수 있도록 하되, 규제 뿐만 아니라 특별법의 혜택도 배제하는 것이 바람직해 보인다. 최근 지주회사 제도와 관련하여 상법ㆍ공정거래법 개정법률안이 국회에 입법발의된 상태다. 상법ㆍ공정거래법의 내용을 검토하는 것은 본 논문의 연구 범위를 넘어서는 것이어서 자세한 검토는 생략하되 세법과의 정합성 측면에서 검토가 필요하다. 분할 시 분할회사가 보유하는 자기주식에 대하여 분할신주의 배정을 금지하는 상법 개정법률안이 입법발의 되었는데, 분할신주를 어떻게 배정할 것인지는 자기주식을 제외한 나머지 주주들이 결정할 문제이고, 그 주주들이 분할신주를 자기주식에 배정하든 배정하지 않든 지분의 계속성이라는 기본 틀에는 아무런 영향을 주지 않는다. 한편 지주회사의 자회사에 대한 최소지분보유율을 10% 상향하는 공정거래법 개정법률안이 입법발의 되었는데, 이는 조세특례제한법 제38조의2 제2항 규정에 직접적으로 영향을 미치고 있다. 해당 규정은 단순히 형식적인 변화를 넘어서서 경제적 실질의 변화가 생겼다고 볼 수 있는 거래에 대해서 과세특례를 주는 규정으로 기업집단의 지배구조개선이라는 정책 목적을 달성하기 위해 세제혜택을 부여하는 것이다. 이는 현재 세법이 기업집단의 소유지배구조 개선을 위한 정책적 목표 달성을 위해 부득이하게 공정거래법 등과 함께 규제 및 혜택을 병행하고 있는 구조에서 기인하는 것이다. 그러나, 조세의 중립성을 저해할 뿐 아니라 공평과세를 위해서도 바람직하지 않다. 특례법을 통해 특정 기업구조에만 지원 및 혜택을 주고 있기 때문이다. 따라서, 장기적으로는 세법이 상법ㆍ공정거래법과 별개로 독자적인 논리 체계를 갖추어서 조직재편 자체에 대해서 일관성있고 통일성 있는 법 체계를 구축하여야 한다.

Although it was forbidden due to problems such as concentration of economic power, it was introduced in 1999 for the restructuring of firms in the unique situation of the foreign exchange crisis. Subsequently, the regulations were continuously relaxed and with corporate groups transforming to the holding company structure consistently increasingly, there has been a considerable effect. In the background of the success of the holding company system is the government policy to encourage the holding company system for the restructuring of companies and corporate governance improvement. Although many companies converted to holding companies due to such background, there have recently been criticisms due to the concentration of control during the process. If we see the reason for the control being concentrated in the process of transition to a holding company, division of new stocks is allocated regarding reacquired stocks when converting to holding company through spin-offs and investment in kind. Moreover, it is as a result of affiliated company's stock investment in kind occurring regarding the controlling shareholders. Therefore, before the division, the shares of the controlling shareholders of the holding company and the shares of the holding company of the operating company both increase two folds. This study examined the reason and need for the holding company transition through spin-offs and investment in kind and after finding the implications through comparison and analysis of reorganization taxation in the US that directly influenced Korea's company restructuring taxation, it examined the interpretation method of the tax law related to the problems occurring during spin-offs and investment in kind integrated transactions and proposed a theory of legislation concerning this. In the US tax law and precedents, the step transaction is seen as one transaction through the principle of substantial taxation and if Korean tax law can also apply this, the integrated transactions of spin-offs and investment in kind can be seen as not having the eligible conditions. However, if compared to the US tax law, the Clause 2, Section 2, Article 38 of the Tax Reduction and Exemption Control Act related to the holding company system is a unique regulation of Korea, thus has an exceptional characteristic regarding the holding company transition. This regulation has the role of filling the gap of insufficient general regulations compared to other countries, along with the Fair Trade Act and thus it is difficult to simply compare with the US tax law. Therefore, regarding the problems arising in the process of transition to holding companies through integrated transactions of spin-offs and investment in kind, one must assess comprehensively after considering the laws other than tax regulations and laws. In the corporate governance of Korea's corporate groups, in the case of establishing and transforming holding companies through spin-offs, the investment in kind transaction between the holding company and the affiliate company's shareholders is essentially united. There arises a few problems in the integration process of the spin-offs and investment in kind transactions with one being the problem arising from investment in kind participation rate and exchange ratio of the affiliate company's shareholders. The other is the problem arising from the change of economic substance. The participation rate of the affiliate company's shareholders during the investment in kind transaction is totally decided through the subjective assessment of the shareholders, but exchange ratio is decided by the assessment of the stocks in transaction. In the process of one company becoming two during the spin-off, the time difference between relisting and initial public offering occurs and there are also problems with difference in assessment methods between tax law and other laws. Intrinsically, the problem arises from the approach of trying to regulate the assessment method in detail while also recognizing that a precise stock value calculation is impossible. In order to fundamentally solve this problem, it seems more desirable to legislate after converting the approach to a principle centered approach. As it is not easy to change the tax law system in the short term, the current tax law must be partially supplemented. Although the same assessment method or other assessment methods can be applied in the case of an unlisted company existing temporarily in the process of one company (listed company) being divided into two companies, a legislation to coordinate this is required. Furthermore, in the cases of the assessment method of the tax law and assessment method of the capital market law being different, the assessment method of the capital market law must be accommodated by the tax law. To add, the holding company transition through the integration of spin-off and investment in kind not only involves formal change, but also changes of economic substance. In this case, there can be a problem of the possibility of directly applying substance over form principle regarding the step transaction of Clause 3, Article 14 of the Basic Law for National Taxes. The core logic of tax postponement is not to use as tax instrument the change of form without change in economic substance, but here, the economic substance has changed. However, the regulation of Clause 2, Section 2, Article 38 of the Tax Reduction and Exemption Control Act is the regulation of giving special provisions of tax to achieve the policy objective of improvement of corporate governance of corporate groups even if there is change of economic substance. With the regulations being continuously eased after the introduction of the holding company system in 1999 and considering the encouragement of establishment and transition of holding companies, the special provisions on tax must be actively applied despite the change in economic substance. Related to the holding company transition through spin-offs and investment in kind integration, the current tax law has no uniformity as it is in the structure of fundamental law and special law to make it difficult to uniformly interpret the law. Ultimately, we need a united tax law system like the reorganization taw law of the US tax law system. Moreover, as the holding company itself is value neutral, it must be allowed to be freely established, but it is desirable to eliminate both the benefits of regulation as well as that of special law. Recently, related to the holding company system, the commercial law and Fair Trade Act proposition is tabled as a bill in the National Assembly. As reviewing the commercial law and Fair Trade Act is beyond the scope of this dissertation, the precise review is omitted, but there must be review in the aspect of consistency with the tax law. The commercial law proposition forbidding allocation of division of new stocks regarding reacquired stocks possessed by the spin-off company during spin-off is being tabled and how the division of new stocks will be allocated is up to other shareholders apart from the reacquired stocks and whether the shareholders allocate the division of new stocks to reacquired stocks or not, it does not influence the basic framework of the continuity of shares. Meanwhile, the Fair Trade Act proposition increasing by 10% the minimum shares retention rate regarding the affiliate company of the holding company has been tabled, and this directly influences the Clause 2, Section 2, Article 38 of the Tax Reduction and Exemption Control Act. This regulation is a regulation giving special provisions on tax regarding transactions that have change to both economic substances as well as formal change and grants tax benefits to achieve the policy objective of improvement of corporate governance of corporate groups. This is caused from the structure of the current tax law having both regulation and tax law with laws such as the Fair Trade Act to achieve the policy objective of improvement of ownership governance of corporate groups. However, it not only decreases the neutrality of the tax, but is not desirable for fair taxation. It is because it is providing support and benefits to only certain corporate structures through special laws. Hence, in the long term, the tax law must have an independent logic system, separate from commercial law and Fair Trade Act and must have a law system of uniformity and consistency regarding the reorganization itself.
