최근 온라인 유통시장의 급성장, 특히 COVID19로 인한 비대면 거래 폭증이 더해지며 산업 전반에 걸쳐 온라인 플랫폼 시장이 급속히 확산되고 있는 추세이다. 온라인 플랫폼은 디지털 경제의 핵심을 이루며 파괴적 혁신을 통해 소비자 후생을 증가시키고 있다. 하지만 그 과정에서 여러 가지 갈등을 야기하기도 한다. 특히 플랫폼의 특징 중 네트워크 효과(network effect), 쏠림 현상(tipping effect), 잠금 효과(lock-in effect) 때문에, 과거 다른 산업들에 비해 훨씬 짧은 시간에 독과점이 형성되기도 한다. 물론 워낙 역동적으로 빠르게 변화하는 산업 특성 및 멀티호밍(multi-homing)이 가능하기 때문에 한번 형성된 독과점이 장기간 고착되기가 어렵다고 볼 수도 있지만, 현대 산업의 지형도를 바꾸고 있는 온라인 플랫폼 사업자의 시장지배적지위 남용행위에 대한 규제 논의는 경쟁법상 매우 중요한 과제로 볼 수 있다. 본 논문에서는 온라인 플랫폼 사업자의 시장지배적지위 남용행위와 관련한 각국의 규제 사례를 연구하기 위해, 먼저 시장지배적지위 남용행위 규제에 대한 각국의 규범 및 규범에 대한 일반론적 해석 논의를 하고, 다양한 플랫폼의 경쟁법상 쟁점 중에서도 특히 양면시장 획정의 문제, 시장지배력 전이(leveraging)의 문제, 플랫폼 중립성의 문제(자기우대 행위, self-preferencing)에 대해 논의하였다. 이어서 최근 미국과 EU 경쟁당국의 구글 쇼핑 제재 사례를 살펴보며, 다양한 플랫폼의 경쟁법상 쟁점들이 구글 쇼핑 사건에서 어떻게 적용되고 있는지 살펴보았다. 구글은 알고리즘 변경을 통하여 자신이 운영하는 쇼핑몰을 상단에 노출시키고 경쟁사가 운영하는 쇼핑몰을 하단에 노출시켰는데, 이러한 구글의 행위에 대해 미국과 EU는 정반대의 결론을 내렸다. 즉, 최근에는 구글의 반경쟁적 행위에 대해 경쟁법 집행을 해야 한다는 등의 반대의 목소리도 높아지고 있지만, 미국 경쟁당국은 구글이 주로 검색 결과의 품질을 개선하기 위해 알고리즘을 변경했고, 실제 또는 잠재적 경쟁자에게 미치는 부정적인 영향이 발생할 수 있더라도 그러한 영향은 검색 결과의 품질 개선이라는 목적에 따르는 부수적 영향이라고 판단하였다. 미국 경쟁당국은 구글의 경쟁자들 중 일부는 구글의 알고리즘 개선행위로 인해 자신들의 제품 판매량이 감소했을 수 있지만, 이는 경쟁 과정에서 나타나는 흔한 부산물이라고 보고 구글을 무혐의로 판단하였다. 반면에, EU 경쟁당국은 이러한 구글의 행위가 시장지배적지위 남용행위에 해당한다고 보아 24억 2,000만 유로(약 3조 2,000억원)라는 사상 초유의 과징금을 부과하였다. 즉, EU 경쟁당국은 시장지배적 사업자는 공동시장에서 순수하고 왜곡되지 않은 경쟁을 해치는 행위를 하지 말아야 할 특별책임(special responsibility)이 있는데, 구글이 검색시장에서의 지배력을 전문 쇼핑시장으로 전이(leveraging)하여, 자기우대(self-preferencing) 행위를 한 것은 경쟁제한성이 인정된다는 것이다. 한편, 온라인 비대면 시장의 급성장에 따라 우리나라에서도 현재 온라인 플랫폼 규제와 관련한 법안들이 속출하는 등 온라인 플랫폼 규제 논의가 활발히 진행 중이다. 특히 이런 가운데 우리나라 공정거래위원회는 2020년 10월 6일 보도자료를 통해 네이버가 자사 오픈마켓 상품이 우선 노출되도록 알고리즘을 조정·변경한 결과, 검색 노출순위가 왜곡되고 오픈마켓 시장의 경쟁이 저해되었다고 판단하고, 시정명령과 함께 과징금(약 265억 원)을 부과하기로 결정한 바 있다. 일명 ‘네이버 쇼핑 사건’으로 명명되는 동 사건은, 앞서 살펴본 구글 쇼핑 사건과 내용면에서 매우 흡사한 사건이다. 공정거래위원회는 네이버의 위와 같은 행위가 시장지배적지위 남용행위에 해당한다고 보았다. 네이버 쇼핑 사건을 분석해보면 공정거래위원회는 아직까지 우리나라 및 전 세계적으로 구체적으로 확립되어 있다고 볼 수 없는 시장지배적 지위 전이이론을 적극적으로 인용하여 네이버 쇼핑의 시장지배적 지위 남용행위를 인정하였는데, 새로운 시장의 생성 및 소멸, 인접시장으로의 이동 등이 매우 짧은 주기로 활발하게 진행되고 있는 온라인 플랫폼 시장에서 시장지배력 전이의 논의는 매우 신중하게 이루어져야 함에도 불구하고 공정거래위원회의 규제는 다소 성급한 법 해석 및 집행으로 보여진다. 또한 EU의 경우 시장지배적지위에 있는 사업자에게는 특별책임(special responsibility)이 있지만 우리나라의 경우 그러한 책임이 인정되지 않음에도 불구하고, 공정거래위원회는 네이버 쇼핑의 자사우대행위가 위법하다고 보았다. 아울러, 소비자 효용 등 친경쟁적 효과와 반경쟁적 효과를 비교하는 등의 과정을 충분히 거치지 않고 경쟁제한성을 인정하였으며, 네이버 쇼핑의 시장점유율 증가에 알고리즘 조정행위 이외의 다른 요소들이 작용했을 가능성도 배제할 수 없는 상황임에도, 단지 시장점유율 증가의 원인을 네이버 쇼핑의 알고리즘 조정행위의 결과로 단정하는 등 공정거래위원회의 규제는 앞으로 다소 논란의 여지가 있을 것으로 보인다. 이는 자칫 기술의 발전 및 혁신 동기를 저해할 수 있는 과도한 규제로 보이며, 따라서 과잉집행의 오류 가능성을 배제할 수 없을 것으로 보인다. 온라인 플랫폼의 경쟁법상 규제에서 ‘혁신 촉진’과 ‘공정 경쟁’은 함께 고려하여야 하는 과제이다. 두 가지 과제 중 어느 한쪽에만 비중을 두어 규제할 경우 문제가 발생할 수 있다. 즉, 혁신 촉진만 강조할 경우 공정 경쟁이 어려울 수 있고, 공정 경쟁만 강조할 경우 자칫 혁신 촉진에서 멀어질 수 있다. 플랫폼 산업은 지금 이 순간에도 계속 변화하고 있다. 즉, 미완성의 서비스가 출시된 이후 시장의 피드백을 통해 지속적으로 조정되면서 성장을 거듭하고 있는 것이다. 따라서 지속적으로 빠르게 변화하고 있는 과정에 있는 산업에 대해 어느 한 시점의 잣대로 규제를 하기 위해서는 특히 더욱 신중을 기할 필요가 있을 것으로 보인다. 왜냐하면 경쟁당국의 지나친 규제 열정이 자칫 의도하지 않은 결과를 초래할 수도 있기 때문이다. 온라인 플랫폼 기업은 과거에는 상상조차 할 수 없을 만큼 소비자 후생을 증가시키고 있을 뿐만 아니라, 소상공인들에게는 새로운 사업의 기회를 제공하기도 한다. 따라서 온라인 플랫폼 기업에 대한 규제의 방향은 국회, 정부, 경쟁당국이 모든 것을 정해주고 ‘조정’ 하는 방향이 아니라, 기본적으로 시장과 당사자에게 자유롭게 경쟁하도록 맡기고 국회, 정부, 경쟁당국은 이들이 올바른 방향으로 경쟁하면서 성장할 수 있도록 ‘조언’ 해주는 방향으로 이루어지는 것이 더욱 바람직해 보인다. 기술 발전이 빠른 속도로 역동적으로 이루어지고 있는 온라인 플랫폼 시장에서 온라인 플랫폼 기업의 규제 필요성, 양면시장에서의 시장획정 방법, 시장지배력 전이 이론 등 여러 가지 쟁점들에 대해 아직까지 사회적 합의가 완성되지도 않았는데, 우리나라 경쟁당국은 온라인 플랫폼 기업 규제에 다소 적극적인 것으로 보인다. 해당 기업들이 혁신 동기를 상실하고 규제 대응에 급급해 하는 동안 어쩌면 우리나라 플랫폼 기업들의 글로벌 경쟁력은 점점 뒤처질 수 있다. 따라서 경쟁당국은 온라인 플랫폼 기업에 대한 경쟁법 집행에 있어서는 과소집행의 오류보다는 과대집행의 오류를 더욱 경계하여야 할 것으로 생각된다.

Due to tremendous increase in non-face-to-face transactions in business ever since COVID-19 outbreak, online platform market has been considerably expanded across the industry. Online platform becomes the core of digital economy in the world. It enhances the consumer’s welfare in a way of disruptive innovation. However, it is also observed that online platform causes conflicts in various ways. Some of the characteristics of the online platform, such as network effect, tipping effect and lock in effect contribute to tendency of establishing monopoly in a very short time compared to any other industry in the past. Even though monopoly formed in such a very short time can hardly be fixed firmly for a long time because of its nature such that the industry itself changes instantly and dynamically and multi-homing is possible, regulation against the abuse of market dominant position for the online platform provider should be considered a critical issue to discuss in terms of competition law. To investigate actual cases on regulation preventing the abuse of market dominant position of the online platform providers being enforced by each country, law of each country would be firstly looked around and general analysis on the law would be discussed. Among the issues involved with various online platforms in terms of competition law, two-sided market, leveraging of market power, and platform neutrality issue (self-preferencing) would be discussed in this study. Subsequently, looking at the recent cases where competition authorities of US and European Union (EU) ruled over Google Shopping, this study aimed at addressing how various issues associated with online platform were dealt with from the perspective of competition law. Google exposed its own online shopping malls at the top of the page by changing its searching algorithms while it placed its competitors at the bottom of the page. Federal Trade Commission(FTC) and European Commission(EC) made opposite decisions on this Google's action. Recently, a voice criticising this Google's action and requesting regulatory action on this anticompetitive conduct of Google gets stronger. However, FTC decided that Google's action of changing its algorithm is intended for improving quality of search services. It was also decided that its algorithm change could produce negative effect on its actual and potential competitors but the negative effect is a side effect that might be occurring while it improves its quality of search service. FTC made a decision that Google is not guilty. In contrast, EC considered the Google’s action to be abusing its dominant power in the market and decided to be guilty. Google was fined about 2.42 billion euros, which is record high. Under EU antitrust rules, market-dominant companies like Google have a special responsibility not to impair sound competition in the market. In this context, EU authority found that Google leveraged its dominant position in general search services towards comparison shopping service and did self-preferencing behavior, which was decided to be an impairment of competition. Along with rapid growth in size of online non-face-to-face market in Korea, there are lots of issues actively being discussed on regulations and laws on online platform. In the meanwhile, Korea Fair Trade Commission(KFTC) imposed a fine (KRW 26.5 billion) on Naver, Korea’s dominant portal service and issued a correction order on its antitrust actions. According to press release on October 6th 2020, KFTC explained that Naver distorted search results by changing its search engine algorithm to expose its own open market products at the front page over other competitors products so that this change negatively affected competition in open market. This is also called “Naver Shopping case” which looks similar with “Google Shopping case” that was mentioned above. KFTC judged Naver’s actions as abusing its dominant market position. In Naver Shopping case, KFTC was actively applying the leveraging theory of market dominant position to it in judging Naver Shopping’s abusing action, which was an exceptional judgement when considering leveraging theory is hardly established yet across the countries including Korea. This KFTC’s decision can be seen as premature in terms of interpretation and enforcement of law since leveraging theory of market dominance should be carefully discussed in this fast-paced online platform market where creation and destruction of new market and movement towards adjacent markets are actively and frequently happening in a very short period. In addition to this, KFTC decided Naver’s self-preferencing was guilty even though special responsibility is not required in Korea in contrast to EU where special responsibility is required by a market dominant company. In this sense, a number controversies are expected to come up for discussion. KFTC accepted Naver's anticompetition even without reviewing comparison between pro-competitive effect and anti-competitive effect of its action of changing algorithm. Also KFTC made a decision assuming that Naver’s algorithm change is the only factor contributing to an increase of market share even though there could be other contributing factors. The KFTC’s decision in this case can be considered as an excessive regulatory decision-making because it could block technology advancement. Furthermore, it could discourage will of innovation of the companies. Therefore the decision lies in a possibility of a false positive. In regulation by a competition law of online platform, “innovation promotion” and “fair competition” should be considered together. It can be troublesome when imposing regulation if we put more focus on either side without maintaining balance between both sides. In other words, emphasizing on innovation promotion only, fair competition can be sacrificed. Similarly, emphasizing on fair competition only, innovation promotion will be gone far away. Online platform industry never stops changing even at this moment. Even if service comes out to the market in an incomplete form, it keeps growing by being adjusted through continuous feedback from the market. In this sense, extra special care should be taken if we impose a relatively static regulation to the fast changing industry, because an excessive passionate regulatory action by competition authority could cause unexpected consequence. The service by online platform company is now significantly improving consumer’s welfare and convenience and offering lots of business opportunities to small business owners. Considering these positive sides online platform can provide, the direction of regulation against online platform companies should not be a “control” them by Parliament, Government and Regulatory authority. Desirable direction would be a “giving advice or guide” them so that they can grow and evolve by competing each other in a fair way. Even though there is no social consensus on whether regulation on online platform companies is needed or not, how to clarify market definition on two sided markets and how to deal with monopoly leveraging in this unique online platform market where technology evolution is rapidly and dynamically happening, regulatory action by KFTC looks too excessive. While Korea’s online platform companies take their time to find a way of complying with this excessive regulations and losing their passion seeking to the innovation, they could be left behind losing their competitiveness in global market. When it comes to enforcement of competition law for online platform companies, false positive should be treated with greater care than false negative.

Even though monopoly formed in such a very short time can hardly be fixed firmly for a long time because of its nature such that the industry itself changes instantly and dynamically and multi-homing is possible, regulation against the abuse of market dominant position for the online platform provider should be considered a critical issue to discuss in terms of competition law. To investigate actual cases on regulation preventing the abuse of market dominant position of the online platform providers being enforced by each country, law of each country would be firstly looked around and general analysis on the law would be discussed. Among the issues involved with various online platforms in terms of competition law, two-sided market, leveraging of market power, and platform neutrality issue (self-preferencing) would be discussed in this study. Subsequently, looking at the recent cases where competition authorities of US and European Union (EU) ruled over Google Shopping, this study aimed at addressing how various issues associated with online platform were dealt with from the perspective of competition law. Google exposed its own online shopping malls at the top of the page by changing its searching algorithms while it placed its competitors at the bottom of the page. Federal Trade Commission(FTC) and European Commission(EC) made opposite decisions on this Google's action. Recently, a voice criticising this Google's action and requesting regulatory action on this anticompetitive conduct of Google gets stronger. However, FTC decided that Google's action of changing its algorithm is intended for improving quality of search services. It was also decided that its algorithm change could produce negative effect on its actual and potential competitors but the negative effect is a side effect that might be occurring while it improves its quality of search service. FTC made a decision that Google is not guilty. In contrast, EC considered the Google’s action to be abusing its dominant power in the market and decided to be guilty. Google was fined about 2.42 billion euros, which is record high. Under EU antitrust rules, market-dominant companies like Google have a special responsibility not to impair sound competition in the market. In this context, EU authority found that Google leveraged its dominant position in general search services towards comparison shopping service and did self-preferencing behavior, which was decided to be an impairment of competition. Along with rapid growth in size of online non-face-to-face market in Korea, there are lots of issues actively being discussed on regulations and laws on online platform. In the meanwhile, Korea Fair Trade Commission(KFTC) imposed a fine (KRW 26.5 billion) on Naver, Korea’s dominant portal service and issued a correction order on its antitrust actions. According to press release on October 6th 2020, KFTC explained that Naver distorted search results by changing its search engine algorithm to expose its own open market products at the front page over other competitors products so that this change negatively affected competition in open market. This is also called “Naver Shopping case” which looks similar with “Google Shopping case” that was mentioned above. KFTC judged Naver’s actions as abusing its dominant market position. In Naver Shopping case, KFTC was actively applying the leveraging theory of market dominant position to it in judging Naver Shopping’s abusing action, which was an exceptional judgement when considering leveraging theory is hardly established yet across the countries including Korea. This KFTC’s decision can be seen as premature in terms of interpretation and enforcement of law since leveraging theory of market dominance should be carefully discussed in this fast-paced online platform market where creation and destruction of new market and movement towards adjacent markets are actively and frequently happening in a very short period. In addition to this, KFTC decided Naver’s self-preferencing was guilty even though special responsibility is not required in Korea in contrast to EU where special responsibility is required by a market dominant company. In this sense, a number controversies are expected to come up for discussion. KFTC accepted Naver's anticompetition even without reviewing comparison between pro-competitive effect and anti-competitive effect of its action of changing algorithm. Also KFTC made a decision assuming that Naver’s algorithm change is the only factor contributing to an increase of market share even though there could be other contributing factors. The KFTC’s decision in this case can be considered as an excessive regulatory decision-making because it could block technology advancement. Furthermore, it could discourage will of innovation of the companies. Therefore the decision lies in a possibility of a false positive. In regulation by a competition law of online platform, “innovation promotion” and “fair competition” should be considered together. It can be troublesome when imposing regulation if we put more focus on either side without maintaining balance between both sides. In other words, emphasizing on innovation promotion only, fair competition can be sacrificed. Similarly, emphasizing on fair competition only, innovation promotion will be gone far away. Online platform industry never stops changing even at this moment. Even if service comes out to the market in an incomplete form, it keeps growing by being adjusted through continuous feedback from the market. In this sense, extra special care should be taken if we impose a relatively static regulation to the fast changing industry, because an excessive passionate regulatory action by competition authority could cause unexpected consequence. The service by online platform company is now significantly improving consumer’s welfare and convenience and offering lots of business opportunities to small business owners. Considering these positive sides online platform can provide, the direction of regulation against online platform companies should not be a “control” them by Parliament, Government and Regulatory authority. Desirable direction would be a “giving advice or guide” them so that they can grow and evolve by competing each other in a fair way. Even though there is no social consensus on whether regulation on online platform companies is needed or not, how to clarify market definition on two sided markets and how to deal with monopoly leveraging in this unique online platform market where technology evolution is rapidly and dynamically happening, regulatory action by KFTC looks too excessive. While Korea’s online platform companies take their time to find a way of complying with this excessive regulations and losing their passion seeking to the innovation, they could be left behind losing their competitiveness in global market. When it comes to enforcement of competition law for online platform companies, false positive should be treated with greater care than false negative.
