In international trade transactions, the transfer of L/C is highly likely to cause disputes because each party is illegal for its own benefit or is not meticulous in performing its work because there are many related parties involved and additional first beneficiaries, second beneficiaries, and transfer banks in the transaction process. In recent years, China's use of L/C in import and export trade tends to decrease, but it ranks first to third in Asia in terms of L/C use, and disputes over L/C are still continuously occurring, and there is a high possibility of disputes over L/C transfer. At this point in time, this study examined dispute cases by dividing them into three types related to the transfer of L/C that occurred in China, and presented cause analysis and implications. First, the types of disputes related to the transfer of L/C are as follows. The first type of dispute is the case of a dispute between the transfer bank and the second beneficiary. In , it is a dispute between the transfer bank (China CITIC Bank Yantai Branch) and the second beneficiary (Dalian Taifu Food Co., LTD). The main cause of this case was a dispute when the transfer bank deleted the additional conditions of Article 47B in the process of transferring the letter of credit. And in the court's final ruling, the transfer bank lost. In , it is a dispute between the transfer bank (Bank of China, Beijing Branch) and the second beneficiary, (Qixia Luyuan Fruit and Vegetable Co., LTD). The main cause of this case was the failure of the SWIFT system, the bank's transmission network, and the transfer bank misrepresented the name of the issuing bank during the transfer execution process, resulting in an error. In the court's final ruling, the transfer bank ruled that the second beneficiary should compensate for the loss of payment. The second type of dispute is the case of a dispute between the first beneficiary and the second beneficiary. In , it is a dispute between the first beneficiary (Hailin International Co. LTD) and the second beneficiary (Hyosung Company). The main cause of this case is that it is not clear whether the party can use the transfer letter of credit when entering into the contract of the letter of credit. In the final judgment, the court ruled that both the first and second beneficiaries were culpable. In , it is a dispute between the first beneficiary (QatarMarble & GraniteCo.W.L.L,) and the second beneficiary (Xiamen Zhongkuang Import & Export Co., LTD). The main cause of this case was that the second beneficiary did not return the payment belonging to the first beneficiary in time in accordance with the provisions of the sales confirmation. In the court's final ruling, it was ruled that the second beneficiary returned the payment belonging to the first beneficiary. The third type of dispute is the case of a dispute between the issuing bank and the first beneficiary. In , it is a dispute between the issuing bank (Spanish Commercial Bank), and the first beneficiary (East Asia Oceanwide International Business Consulting Co., LTD). The key issue that occupies a high proportion in this case is that the Chinese court must select a country's law as the applicable law when hearing case 5. It is also whether the prohibition of payment order issued in accordance with the dispute between the issuing client and the first beneficiary affects the judgment process in case 5. Through the analysis of the above dispute cases, the following implications can be presented. First, in case 1, the transfer bank needs to be clearly familiar with the rules related to the transfer business. In addition, when the first beneficiary presents a change in conditions that do not conform to the rules, the transfer bank has the right to refuse the transfer, and it is necessary to secure the validity of the transfer letter of credit to the second beneficiary. In addition, after receiving the transfer letter of credit, the second beneficiary will need to clearly confirm the validity of the contents of the transfer letter of credit to each party listed in the transfer letter of credit. Second, in case 2, the transfer bank must check the name of the issuing bank and check for failure of the SWIFT system before transferring the letter of credit. Upon completion of the L/C transfer, the transfer L/C should be checked immediately for errors. To prevent the issuing bank from failing to pay, the second beneficiary should examine the creditworthiness of the issuing bank after the condition is changed. In addition, in the event of a breach of the obligations of the parties to the letter of credit, only the direct loss of the letter of credit shall be compensated. Third, it should be clear whether a transfer letter of credit can be used when a party enters into a contract in case 3. In addition, if the second beneficiary does not agree with the current method of performing the contract when performing the contract, the first beneficiary should not perform the contract on its own basis, and both parties will have to find a new method of performing the contract through negotiations. Fourth, when a party enters into a contract in case 4, the payment deadline should be clear, and the solution to the additional corporate income tax problem should be clear. Both parties should strictly implement the new resolution and should not delay or reject the resolution on the grounds that the employee is ill. Fifth, in case 5, the L/C dispute is not affected by other contract events because the governing law is clear when the parties enter into the contract, and the L/C and other contracts are mutually independent. Therefore, the issuing bank must examine the document and pay the first beneficiary.
