Ⅰ. 배경 및 목적
○ 한국의 대기업집단은 다단계 지주회사 구조와 순환출자 등의 방법으로 복잡하고 불투명한 지배구조를 이용해 총수일가가 적은 지분으로도 전체 계열사를 지배하는 소수 지배주주 구조를 형성하고 있음

Ⅰ. 배경 및 목적
○ 한국의 대기업집단은 다단계 지주회사 구조와 순환출자 등의 방법으로 복잡하고 불투명한 지배구조를 이용해 총수일가가 적은 지분으로도 전체 계열사를 지배하는 소수 지배주주 구조를 형성하고 있음
- 대기업집단의 불투명하고 복잡한 지배구조는 소유집중의 원인이 되어 총수일가가 사익편취를 할 수 있는 원인으로 작용하고 있으며, 적은 자본으로 손쉽게 국민경제에서 차지하는 비중을 높여 일반집중을 심화시킴으로써 경제과 정치에 미치는 영향력을 증가시키고 있음

- 대기업집단의 지배구조에 관한 법률로는 공정거래법과 상법 이외에도 금융회사의 지배구조에 관한 법률과 자본시장법 및 국민연금법 등 다양한 법률이 있지만, 이 연구에서는 대기업집단 지배구조에 가장 큰 영향을 미치고 있는 공정거래법과 상법을 중심으로 바람직한 법제 개선방안을 검토해보고자 함
Ⅱ. 주요 내용
▶ 대기업집단 지배구조의 문제점과 경제력집중의 폐해
○ 대기업집단과 경제력집중의 개념
- 대기업집단은 공정거래법과 상법에서 공식적으로 사용되고 있는 명칭은 아님
- 공정거래법은 ‘기업집단’의 개념을 설정하고, ‘상호출자제한 기업집단’과 ‘공시대상 기업집단’이라는 2단계 분류를 통해 경제력집중 억제와 관련된 규제를 차등적으로 적용하고 있는데, 공정위는 이 두 종류의 기업집단을 포괄하여 사실상 ‘대기업집단’의 의미로 사용하고 있음
- 상법은 대기업집단만을 적용대상으로 하는 별도의 규정을 가지고 있지 않으므로 대기업집단의 개념을 도입하고 있지 않으며, 다만 주식회사 상장회사의 특례 중 일정 자산규모 이상의 회사에만 적용되는 규정들은 기업집단을 대상으로 하는 것이 아니라 개별 기업 중 규모가 큰 개별 기업을 대상으로 하는 것임
- 경제력집중은 시장집중, 일반집중, 소유집중으로 분류되고 있음
- 시장집중은 개별 상품시장에서 우월한 지위를 차지하고 있는 기업들의 지배력 정도를 의미하며, 일반집중은 국민경제 전체의 차원에서 특정한 기업 내지 기업집단들이 차지하는 비중이 높아지는 것을 말함. 소유집중은 총수일가에게 경제적 자원의 소유가 집중되거나 지배력이 집중되는 것, 또는 낮은 지분율로 전체 대기업집단을 지배하고 있는 현상(소유와 지배의 괴리 측면)으로 설명되고 있음
○ 대기업집단 지배구조의 현황과 문제점
- 우리나라는 대기업집단의 경영권 승계와 분리 과정에서 순환출자가 심화되는 현상이 나타났음. 최근 순환출자 고리 수가 대폭 감소하기는 하였지만, 순환출자 구조는 가공자본을 발생시키므로 상법상 자본충실의 원칙에 반하며, 기업이 도산하는 경우 다른 기업에 영향을 미쳐 연쇄도산의 위험을 발생시킴
- 공정거래법상 지주회사제도는 대기업집단 지배구조의 투명성과 경영효율 제고를 위해 도입되었지만, 지주회사 체제로 전환하는 과정에서 총수일가와 지주회사의 지배력을 확대하는 수단이 되었음
- 순환출자 구조와 지주회사 구조는 지배주주가 적은 지분으로도 대기업집단 전체의 지배권을 가지는 소유와 지배의 괴리를 발생시킴으로써 지배주주의 사익추구 가능성을 높이고 그 결과 기업의 수익성을 하락시킬 수 있음
○ 대기업집단 지배구조와 과도한 경제력집중의 폐해
- 대기업집단 지배구조는 경제력집중과 밀접한 관련이 있음. 순환출자와 지주회사 구조는 일반집중의 원인이 되고 있으며, 소유와 지배의 괴리로 인한 지배주주의 사익편취행위는 소유집중의 결과이자 원인으로 작용하고 있음
- 대기업집단의 과도한 경제력집중은 자원배분의 효율성과 경제의 역동성 하락을 초래하며, 과점시장에서의 담합이나 동조적 행위 또는 다중 시장 계약 등을 통해 경쟁에 악영향을 미칠 수 있음. 또한 경제력집중은 반민주적인 정치적 압력을 키워낼 수 있고, 소수 대기업집단의 사적 재량권 남용은 사회 전체의 복지에 부정적 영향을 줄 수 있음
▶ 대기업집단 지배구조 및 경제력집중 관련 현행 법제와 문제점
○ 공정거래법의 문제점
- 지주회사제도의 경우, 공정거래법의 거듭된 개정으로 지주회사의 행위제한 요건이 완화됨에 따라 현행 제도는 오히려 경제력집중을 심화시키는 수단으로 남용되고 있음
- 순환출자 금지의 경우, 공정거래법은 신규 순환출자만 금지시키고 있는데, 규제대상에서 면제된 기존 순환출자도 신규 순환출자와 마찬가지로 가공자본을 통한 편법적 지배력 확대와 자본부실의 문제를 동일하게 발생시키고 있음
- 금융·보험회사 의결권 제한의 경우, 외국 기업에 의한 적대적 인수합병을 방어할 수 있도록 일부 예외를 인정한 바 있으나 일부 기업집단이 지배주주의 지배력 유지 및 강화를 위하여 이를 남용하는 사례가 발생하고 있음
○ 상법의 문제점
- 업무집행지시자의 책임을 묻기 위한 상법 규정은 지배주주의 책임을 묻기 위해 도입되었지만, ‘사실상의 이사’라는 일반적인 개념을 채택하는 대신 구체적으로 이사의 책임이 부과될 수 있는 행위유형을 규정하고 데 그치고 있으므로, 이에 해당하지 않는 경우 그 책임을 묻기 어려운 문제가 있음
- 회사의 기회 및 자산의 유용 금지에 관한 상법 규정은 일감몰아주기를 통한 편법적 경영권 승계를 금지하기 위해 도입되었지만, 현실에서는 적용될 수 있는 경우가 그리 많지 않다는 문제가 있음
- 우리나라에서는 주주대표소송의 요건이 너무 엄격하여 제대로 활용되지 못하고 있으므로, 지난 20년간 상장회사의 주주가 대표소송을 제기한 건수는 총 47건에 불과함. 또한 주주대표소송은 당해 회사의 소수주주가 당해 회사의 이사의 임무해태에 대하여 회사를 대신하여 소를 제기하는 것이므로, 대기업집단에 속한 다른 계열회사 이사의 임무해태로 인해 당해 회사에 손해가 발생한 경우 그에 대해서는 소를 제기할 수 없다는 문제가 있음
- 상법은 경영자의 권한남용을 억제하기 위해 여러 규정을 두고 있지만, 모두 행위의 주체를 이사 또는 감사로 한정하고 있으며, 회사의 의사결정을 실질적으로 지배하는 지배주주의 개념은 찾아볼 수 없음
▶ 대기업집단 지배구조 개선 및 경제력집중 억제 관련 해외 법제
○ 미 국
- 미국 의회는 1890년에 연방 차원의 최초의 독점금지법인 셔먼법을 통과시켰는데, 셔먼법은 독점의 해체를 강제하기 위한 권한을 정부에게 주기 위해 고안된 것임.
시어도어 루즈벨트는 1901년 취임한 즉시 셔먼법이 제대로 작동하도록 조치하였으며, 노던 증권사(철도 트러스트), 스탠다드 오일사, 아메리칸 토바코사 등을 상대로 트러스트 해체소송을 진행함으로써 트러스트 파괴의 시대를 출범시켰음
- 공익사업을 하는 기업의 구조를 단순화시키고 지주회사의 활동을 규제하기 위하여 1935년에 공익사업지주회사법을 제정함으로써 지주회사의 기업구조를 2개 계층 이하로 제한하였음
- 미국의 주주대표소송은 단독주주권을 특징으로 하므로 1주만 소유한 주주라도 대표소송의 원고적격이 있음. 또한 종속회사 이사의 부정행위로 인한 손해회복을 위한 수단으로서 지배회사 주주에게 다중대표소송을 인정하고 있음. 캘리포니아주, 델라웨어주, 오클라호마주에서는 다중대표소송을 제기하려는 모회사의 주주를 위해 자회사의 회계장부에 대한 다중회계장부열람권을 인정하고 있음.
델라웨어주 보통법에서는 지배주주의 신인의무를 인정하며 지배주주의 이해관계 있는 거래는 완전한 공정성 심사를 받아야 하고, 사외이사와 이해관계 없는 주주로부터 이중의 승인을 받아야 함
○ 일 본
- 제2차 세계대전 후 일본을 점령한 연합국 최고사령관 총사령부는 당시 일본이 가지고 있던 군국주의 사상을 근본부터 제거하기 위하여 일본 경제계를 장악했고 제2차 세계대전에도 크게 관여한 일본 재벌의 해체를 실시하였음
- 일본 독점금지법은 경제력이 집중된 대기업집단이 형성됨으로써 경쟁사업자의 자유로운 시장진입이 저해되거나 공정한 경쟁이 방해되어 시장메커니즘이 억제되고 경쟁에 왜곡이 생기는 것을 방지하기 위해 ‘사업지배력이 과도하게 집중되는 회사’에 대한 일반집중 규제를 도입하였음. 또한, 일본 독점금지법은 은행과 보험회사가 다른 회사에 대한 의결권을 취득하거나 보유하는 것을 금지하는 규정을 둠으로써 강력한 금산분리를 도모하고 있음

○ 이스라엘
- 이스라엘은 경제 전반에 걸친 집중을 감소시킴으로써 이스라엘 경제의 경쟁력을 제고하고, 보다 경쟁력 있고 효율적인 시장을 확보하며, 일반 투자자를 보호하고, 금융기관의 탄력성과 안정성을 강화하기 위해 2013년 12월에 「경제력집중법」을 제정하였음
- 경제력집중법은 주요 세 개 부분으로 구성되어 있음. i) 권리배분에 있어서 경제력 집중과 산업별 경쟁의 고려, ii) 피라미드 구조를 가진 대기업집단의 지배구조를 2계층으로 제한, iii) 주요 실물기업과 주요 금융기관간 금산분리
- 이스라엘 회사법은 회사와 지배주주 간 거래가 회사의 예외적인 거래 등에 해당할 경우에는 지배주주에게 고지의무를 부과하고 감사위원회와 이사회 및 주주총회의 사전적인 승인을 얻도록 하고 있음
- 이스라엘 회사법은 회사업무가 특정 주주 또는 주주 전체에 대해 차별적으로 이루어지는 경우, 법원이 그 차별적 취급을 시정하거나 예방하기 위한 명령을 발할 수 있도록 하고 있음. 또한 지배주주 등에게 공정성 의무를 부여하고 있으며, 그 의무위반에 대해서는 계약위반과 동일한 효과가 적용되도록 하고 있음
○ EU와 독일
- EU는 1950년대부터 EU 차원의 단일화된 기업집단법을 제정하기 위해 노력하였으나 성공하지 못하고, 현재는 실질적 의미의 기업집단법이라 할 수 있는 여러 지침들을 제정하여 적용하고 있음
- 특히 2017년 개정된 EU 주주권 지침은 지배주주의 관계자거래로부터 회사와 주주(관계자가 아닌 주주와 소수주주)의 이익을 보호하기 위해 해당 거래에 대해 주주총회 또는 기타 기관 등의 승인을 받도록 규정하고 있음
- 독일 콘체른법은 별도의 단일법이 아니라 독일 주식법의 일부를 지칭함. 독일주식법 제18조에 따르면, 하나의 지배기업과 하나 또는 수개의 종속기업이 지배기업의 통일적 지휘 아래에 총괄되는 경우 그 기업들은 콘체른을 형성한다고 말할 수 있음

- 독일 콘체른법은 단일체로서 기업집단이 지배기업의 통일적 지휘 하에 기업집단의 이익을 추구할 수 있음을 인정하고 손실을 본 종속기업에 대한 지배기업에게 손실보상 책임을 부과하는 방식을 통해 이익의 조정을 도모함
▶ 대기업집단 지배구조 개선 및 경제력집중 억제를 위한 법제 방안
○ 규제방식의 설계
- 상법의 목적은 기업의 유지·발전, 기업 활동의 원활화, 거래안전의 보호(이해관계인의 보호)를 추구하는 것인 반면, 공정거래법은 국민경제 전체적 관점에서 경제력 집중을 억제하고자 하는 것이므로, 상호 입법목적과 접근방식이 다름. 그러므로 공정거래법과 상법은 대기업집단의 지배구조 개선과 경제력집중 억제를 위해 상호보완적인 관계에서 협력하고 적절한 역할을 분담할 필요가 있으며, 다만 상호 중복규제가 되지 않도록 장기적인 방안을 설계할 필요가 있음
○ 공정거래법 개정방안
- 공정거래법상 지주회사제도, 순환출자 금지제도, 의결권 제한 제도는 경제력집중을 억제하기에 미흡하므로 이를 개선할 필요가 있음
- 장기적으로 상법 개정을 통해 기업내부 통제시스템을 개선함으로써 지배주주의 사적 이익 도모에 대하여 소수주주들의 통제가 활발하게 이루어지게 되는 경우에도, 여전히 상법으로는 달성하지 못하는 일반집중 억제의 수단을 공정거래법은 보유할 필요가 있음
○ 상법 개정방안
- 대기업집단 지배구조 개선을 위해 상법상 주주대표소송을 개선하여 원고적격을 완화하고, 미국과 일본에서 도입하고 있는 다중대표소송과 다중회계장부열람권을 도입할 필요가 있음. 또한 미국 및 이스라엘 회사법과 같이 지배주주의 개념을 도입하고 다른 주주보다 책임이 가중된 공정성 의무를 부여할 필요가 있음
- 장기적으로는 상법에 독일 콘체른법과 같이 지배기업에게 지휘권을 인정하는 대신 종속기업에 대한 손실보상 책임을 인정하는 기업집단 관련 규정을 도입하고, 독일과 마찬가지로 그 규모를 불문하고 모든 기업집단을 적용대상으로 할 필요가 있음
- 한편, 일부에서는 공정거래법상 경제력집중 억제 규정과 상법 및 대기업집단 규제 관련 기타 법률의 해당 조항들을 한 곳에 묶어 별도의 단행법으로 「대규모 기업집단에 관한 특별법」를 제정하자는 견해도 있지만, 행정규제법의 성격을 갖는 공정거래법과 사법(私法)에 속하는 상법상 규정들을 하나의 법체계 안에 묶는 것은 쉽지 않은 작업일 뿐만 아니라, 공정거래법상 규제대상과 상법의 적용범위에는 상당한 차이가 있어 이를 하나로 통합하기는 사실상 어려움. 그러므로, 지금과 같이 공정거래법과 상법의 별도 법체계로 가면서, 상법에 독일 콘체른법과 마찬가지로 기업집단에 특유한 손실보상 규정을 두면서 기업집단 규모와는 무관하게 모두 적용될 수 있도록 하는 방법이 적절하다고 생각됨
Ⅲ. 기대효과
○ 우리나라의 대기업집단은 소유·지배구조가 불투명하고 복잡하게 얽혀있고 총수 등의 독단적 경영을 견제하기 위한 내부견제장치가 효과적으로 작동하지 못하고 있으므로, 대기업집단의 지배구조를 개선함과 동시에 경제력집중의 억제를 도모하기 위한 효과적인 법제 개선방안을 제시함

- The opaque and complex governance structure of Business Groups is the cause of the concentration of ownership and it allows the owners to take the private profit.
By increasing the proportion in the national economy with a small capital and deepening the aggregate concentration, thereby increasing its influence on the economy and politics.

Ⅱ. Major Content
▶ Problem of Large Business Group governance and harmful effects of concentration of economic power
○ Concept of Large Business Group and concentration of economic power
- Large Business Group is not officially used term in Fair Trade Law and Commercial Law.
- The Fair Trade Act establishes the concept of ‘Business Group’ and applies the regulations related to the restraint of concentration of economic power in a different way through the two - level classification, ‘Business Group regulated on mutual investment’ and ‘Business Group subject to disclosure.’ The Korean FTC uses these two types of business groups as a whole, meaning “Large Business Groups.”
- The Commercial Law does not adopt the concept of Large Business Group because it does not have a separate regulation that covers only Large Business Group, however, the regulations that apply only to companies with a certain asset size or more among exceptions of the listed companies are not targeted at Business Group, but are targeted at individual companies that are large among the individual companies.
- Concentration of economic power is devided into market concentration, aggregate concentration, ownership concentration.
- Market concentration refers to the degree of dominance of firms that have a dominant position in the individual commodity market, and aggregate concentration refers to the increase in the proportion of specific corporations or Business Groups in the national economy as a whole. Ownership concentration is explained by the fact that ownership of economic resources is concentrated or dominated by the owner family, or as a phenomenon that dominates the entire Large Business Group with a low stake (ie, the divergence between ownership and domination).
○ Current status of governance of Large Business Group & its problem
- In Korea, cross-shareholding has been deepened in the process of succession of management rights & separation of the Large Business Group. Although the number of cross-shareholding rings has decreased drastically in recent years, the cross-shareholding structure generates the processing capital, which is against the principle of capital enhancement under the Commercial Law. If a company goes bankrupt, it affects other companies and creates a risk of chain bankruptcy.
- The holding company system in the Fair Trade Act was introduced to improve the transparency and management efficiency of the Large Business Group's governance structure, but it became a means to expand the dominance of the owner family and the holding company in the process of transition to a holding company structure.
- The cross-shareholding structure and the holding company structure can cause the divergence of ownership and domination twith the dominant share of the Large Business Group even with a small share of the controlling shareholder, thereby increasing the possibility of pursuing the interests of the controlling shareholder and consequently decreasing the profitability of the enterprise.
○ Harmful effect of Large Business Group’s governance struture and excessive concentration of economic power
- Large Business Group’s governance structure is closely related to concentration of economic power. Cross-shareholding and holding company structure are the cause of aggregate concentration, and private profit-taking behavior of controlling shareholders due to the divergence of ownership and domination is the result and cause of ownership concentration.
- The excessive concentration of economic power in the Large Business Group leads to a decline in the efficiency of resource allocation and dynamics of the economy.
It also has a negative impact on competitiveness through collusion or concerted action in oligopoly markets or multi-market contracts. In addition, the concentration of economic power can raise anti-democratic political pressures, and the abuse of private discretion of a few Large Business Groups can have a negative impact on the welfare of society as a whole.
▶ Current legislation and problems related to Large Business Group’s governance structure & Concentration of economic power
○ Problem of the Fair Trade Act
- In case of the holding company system, the current system is being abused as a means to intensify the economic power as the requirements of restricting the holding company's operations are relaxed by the repeated amendment of the Fair Trade Act.
- In case of cross-shareholding prohibition, the Fair Trade Act prohibits new cross-shareholding however, existing cross-shareholding exempted from the regulation is also causing the same problem of the expansion of the expediential dominance monopoly power and the problem of capital failure through processing capital like new cross-shareholding.
- In case of financial and insurance company voting rights restrictions, some exceptions have been granted to defend hostile mergers and acquisitions by foreign companies, but some Business Groups have abused them to maintain or strengthen control of controlling shareholders.
- In the case of the disclosure system, there is no way to identify when a Large Business Group makes a cross-shareholding or mutual investment through a subsidiary that is a foreign corporation.
○ Problem of the Commercial Law
- Although the Commercial Law provision for liability of directives of directors was introduced to account for the responsibility of the controlling shareholder, instead of adopting the general concept of “de facto director”, it stipulates the type of behavior that can be specifically imposed on the director and it is difficult to ask for responsibility if it does not apply.
- The Commercial Law provisions on the prohibition of the Company's opportunities and assets have been introduced to prohibit the expediential succession of management rights through work, but the reality is that few cases are applicable.
