EU 역시 수직적 합의에 대한 일괄적용면제규칙(BER)을 통해 관련시장에서의 점유율이 30%미만인 경우 자동적으로 면제함으로써 상당히 완화된 입장을 나타내고 있다. 우리 공정거래법도 지역제한을 포함하는 구속조건부행위에 대한 불공정거래행위 심사지침에서 안전지대를 설정하고 있다. 가맹사업은 가맹본부의 통일적인 브랜드 경쟁정책상 일정부분 브랜드내 제한이 따르게 되는데 가맹사업법은 공정거래법상 계수하여 영업지역 준수강제라는 불공정거래행위의 한 형태로 규정하면서도 위법성 심사기준을 주로 경쟁제한성에 두면서도 따로 안전지대를 설정하지 않고 있으며, 공정위의 심결에서도 지역제한으로 인한 브랜드내 경쟁제한과 브랜드간 경쟁촉진 효과를 비교형량하는 등 지역제한으로 인한 경쟁제한성을 여전히 경계하고 있다고 할 수 있다. 영업지역침해 혹은 상권잠식 현상이란 가맹본부가 기존 가맹점사업자의 합리적인 영업지역 내에 근접하여 직영점 혹은 새로운 가맹점을 개설하여 가맹점사업자와 경쟁관계에 들어가는 관행을 말하는데, 가맹본부에 의해 영업지역 침해되면 가맹점사업자는 브랜드간 경쟁뿐 아니라 브랜드내 경쟁에 시달리게 되어 시장에서 퇴출될 위험에 직면할 수 있다는 점에서 영업지역의 보호의 필요성이 제기되는 것이다. 세계 각국의 입법현황을 살펴보면, EU나 일본을 포함한 선진법제에서 아직까지 영업지역침해를 규제하는 법령이 제정되어 있지 않고, 프랜차이즈산업의 원조인 미국에서도 현재 연방법 차원에서 영업지역침해를 규제하는 일반법은 존재하지 아니한다. 최근 20여 년 동안 영업지역의 침해문제가 가장 심각한 쟁점으로 부각되면서 영업지역보호를 위한 연방차원의 입법시도가 여러 차례 있었지만 모두 실패로 돌아간 것은 자칫 균형을 잃은 입법으로 독점이 형성되고 경쟁이 제한되어 최종적으로 소비자의 후생이 저하될 수 있다는 우려에서 비롯된 것이다. 이처럼 비교법적으로도 가장 강도 높은 영업지역에 대한 규제는 적지 않은 문제를 안고 있다. 우선 계약법적 측면에서 가맹계약의 각 당사자가 상법상 독립한 상인임에도 불구하고 사업자인 당사자의 의사와 관계없이 개념과 범위가 모호한 영업지역의 설정을 강제하고 보호를 강제한다는 점에서 헌법에서 유래한 당사자의 계약자유의 원칙을 훼손하고 대등한 계약당사자인 가맹점사업자의 상인성을 외면하여 상법의 독자성에 대한 근거를 흔들 수 있는 위법성을 내포하고 있다. 또한 규제법적인 측면에서는 영업지역 보호를 위해 가장 강도 높은 단계의 사전적 규제를 가하고 있는데, 이는 모든 가맹계약에 있어 가맹본부의 거래상 지위를 전제하고 있다고 할 수 있다. 가맹계약의 특성상 관계특유투자가 크므로 가맹본부에 대한 의존도가 높을 수 있으나 모든 가맹사업에서 가맹본부의 거래상 지위를 전제한 것은 성급한 일반화의 오류를 범하였다고 할 것이다. 아울러 경제적 접근강화와 시장의 효율성을 중시하는 최근 경쟁법집행의 흐름에 비추어볼 때 사전적 규제는 사후적 규제가 제대로 작동하지 않거나 폐해가 발생할 것이 명백한 경우에 제한적으로 발동되어야 한다는 점에서 수단의 적합성도 확보하지 못하였다고 할 것이다. 또한 개정법상 영업지역 침해행위에 대한 위법성의 판단기준이 아직 제대로 정립되지 않아 법집행에 있어 법적 안정성의 문제를 초래할 소지가 있다고 하겠다. 이러한 배타적 영업지역의 설정강제 및 보호의무화는 기존 가맹점사업자에게 일정한 독점력을 부여할 뿐 아니라 사실상 시장 분할로 이어질 위험성이 적지 않아, 새로운 가맹희망자의 신규진입이 차단되고 경쟁이 제한되어 궁극적으로 소비자후생이 저하될 우려마저 있다. 이러한 과도한 규제입법은 불과 몇 년 전 가맹사업을 서비스산업의 선진화와 자영업자의 경쟁력 제고에 유용한 서민밀착형 산업으로서 국가경쟁력 제고 차원에서 활성화하려던 시각과는 상당한 거리가 있는 것이 사실이다. 가맹사업이 국민경제에서 차지하는 비중은 결코 적지 않고 오히려 앞으로 더욱 증가할 수밖에 없으므로 가맹사업 규제 역시 전체 사업의 발전의 측면에서 이루어져야 한다. 가맹사업은 대립하는 쌍방 당사자로 하는 일반거래와 달리 독립하면서도 상호의존하고, 서로의 발전이 공동의 번영으로 귀결되는 전형적인 相生의 사업관계이다. 따라서 가맹사업법의 입법은 일방당사자인 가맹점사업자의 이익뿐만 아니라 상생관계인 가맹점사업자, 가맹사업의 발전, 소비자의 후생증진 및 국민경제발전에 기여하는지에 대해 深謀遠慮해야 한다. 이러한 맥락에서 개정법과 같이 예외 없이 영업지역 설정강제 및 침해금지를 의무화하기 보다는, 각 가맹계약의 상황에 맞게 계약당사자 간에 자율적으로 결정할 수 있도록 하면서도 사전에 충분한 정보를 제공하고 나아가 설명의무를 추가적으로 도입하여 정보의 비대칭으로 인해 발생하는 문제를 해소하는 것이 필요할 것이다. 나아가 이익교부조항, 우선매수권이나 이익배려조항 등의 다양한 민사상 대안을 마련하고 중재와 조정 등의 활성화를 통해 자율적 갈등해결을 모색하는 것이 실제 분쟁해결에 도움이 될 수 있을 것이다. 가맹사업법상 영업지역 설정강제와 보호의무화 규정은 비교법적으로 유래가 없고 경쟁의 촉진과 소비자 후생이라는 경쟁법상의 기본원리에 반하며 소비자 복지의 증진과 국민경제의 건전한 발전에 이바지하려는 가맹사업법의 근본적인 취지 역시 몰각시킬 우려가 있으므로, 궁극적으로는 가맹사업법 제5조 및 제12조의4의 개정을 통해서 영업지역 관련 법조항을 정상화하는 것이 필요하다할 것이다.

The Korea Fair Franchising Act, (hereinafter, "KFFA"), known as one of so called “economic democratization laws”, was revised on August 13, 2013 as Statute No. 12094 and came into force on February 14, 2014. The reason for the revision was to eliminate unfair trade practices by franchisors’ abusing their superior bargaining position and to consolidate regulations in order to protect franchisees' rights. With respect to the territorial exclusivity, the revised KFFA imposed an obligation of territory protection by deleting existing Article 12(2)4 and attached Table 2 in Article 13(1)4 of the enforcement decree of KFFA. It precluded previously granted franchisors' options on territories by including territories in the contract. The new regulation on encroachment ultimately aims at the protection of territorial exclusivity in any type of franchise business. Article 12(1)3 clarifies that franchisor’s restraint on a franchisee's territorial boundary is an unfair transaction and shall be prohibited. A summary of territory regulation is as follows: first, territorial exclusivity must be set in the contract regardless of the parties’s intention; second, the franchisor should abide by territorial exclusivity without retaining the right to compel a franchisee to comply with the stated territories. Any violations of infringing upon territorial exclusivity are regarded as an unfair transaction and are subject to penalty or necessary corrective measures. Consequently, the focus of the revised Article is to regulate franchisors' options on territories. The main issues of territories in the franchise business transaction relate to territorial exclusivity and encroachment. Territorial exclusivity refers to general practice that either the franchisor or franchisee fixes a business boundary. Through this territorial exclusivity, the franchisor limits the franchisee’s business location. This boundary has been the target of competition law regulation because it can restraint competition between franchisees. Moreover, the franchisor’s position at the top of the distribution structure has caused problems of vertical restraints so the criteria for judging its illegality have been disputed. In the U.S., all types of territorial exclusivity have been judged as illegal per se since the case of Schwinn. However, the Sylvania case, a late–twentieth century precedent, held that the illegality of vertical restraints should be subjected to rule of reason, which attempted to balance conflicting interests of the pro- and anti-competitive effects. Since the Sylvania case, efficiency emerged as the most significant criterion for the pro-competitive effect. However, the issue of illegality of vertical restraints still remains. The encroachment phenomenon means that the franchisor authorizes a new franchisee or establishes a company-owned unit within or close to the existing franchisee’s market area, thus causing competition. The encroachment phenomenon may engender the liquidation of a franchisee through intrabrand and interbrand competition. Therefore, there has been much debate to protect the franchisee's market area by a statute law. In developed countries, such as the EU and Japan, regulation on encroachment is not yet legislated. In the U.S. where franchise business originated, federal law to regulate encroachment has not been introduced, although there have been some attempts to enact federal legislation to protect territories given an increasing number of encroachment disputes over the last twenty years. These attempts failed because of concerns that unbalanced legislation may create a monopoly in the market, which deteriorates consumer welfare; this outweighed the necessity to protect the franchisee. The Korea Fair Franchising Act, (hereinafter, "KFFA"), known as one of so called “economic democratization laws”, was revised on August 13, 2013 as Statute No. 12094 and came into force on February 14, 2014. The reason for the revision was to eliminate unfair trade practices by franchisors’ abusing their superior bargaining position and to consolidate regulations in order to protect franchisees' rights. With respect to the territorial exclusivity, the revised KFFA imposed an obligation of territory protection by deleting existing Article 12(2)4 and attached Table 2 in Article 13(1)4 of the enforcement decree of KFFA. It precluded previously granted franchisors' options on territories by including territories in the contract.
